11. Fair Housing and Equal Opportunity
We support and comply with applicable fair-housing and equal-opportunity laws. We do not discriminate on the basis of race, color, religion, sex, gender identity, sexual orientation, national origin, familial status, disability, or any other protected characteristic under applicable law.
12. Disclaimers
To the fullest extent permitted by law, the Website and its content are provided on an **”as is”** and **”as available”** basis, without warranties of any kind, express or implied.
We do not warrant that:
– The Website will always be available, uninterrupted, or error-free;
– Website content will always be complete, accurate, current, or reliable;
– The Website will be free from viruses or other harmful components; or
– The Website will meet your particular needs or expectations.
Some jurisdictions do not allow certain warranty exclusions, so some of these limitations may not apply to you.
13. Limitation of Liability
To the fullest extent permitted by law, Virginia Wang, the brokerage, and their respective owners, agents, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to your use of, or inability to use, the Website or its content.
To the fullest extent permitted by law, the total liability for any claim arising from or relating to the Website will not exceed the amount you paid, if any, to use the Website during the twelve months before the event giving rise to the claim.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited or excluded.
14. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Virginia Wang, the brokerage, and their respective owners, agents, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses – including reasonable legal fees – arising out of or related to:
– Your violation of these Terms;
– Your misuse of the Website;
– Your violation of another person’s rights; or
– Information or content you submit through the Website.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
a. Informal resolution first
Before starting mediation, arbitration, or court proceedings, you agree to first contact us in writing at admin@vwangrealestate.com and describe the nature of the dispute and the relief requested. The parties will make a good-faith effort to resolve the dispute informally for at least 30 days after the notice is received.
This informal-resolution requirement does not prevent either party from seeking temporary or emergency injunctive relief when necessary to prevent immediate harm, protect confidential information, preserve legal rights, or prevent unauthorized access to the Website.
b. Mediation
If the dispute is not resolved informally, either party may request mediation. Mediation is a non-binding process in which a neutral mediator helps the parties try to reach a mutually acceptable resolution.
The mediation will take place in Los Angeles County in the State of California, or remotely if the parties agree. The mediator will be selected by mutual agreement. If the parties cannot agree on a mediator within 15 days after a written request for mediation, either party may request appointment of a mediator through CALIFORNIA ASSOCIATION OF REALTORS® Dispute Resolution Center.
Unless otherwise required by law or agreed in writing, the parties will share the mediator’s fees equally, and each party will pay its own attorneys’ fees and costs. Statements made during mediation are intended to be confidential to the extent permitted by applicable law.
c. Binding arbitration
If mediation does not resolve the dispute within 60 days after the mediation request, the dispute will be resolved by final and binding arbitration rather than in court, except where applicable law does not permit arbitration or where a party may bring a qualifying claim in small-claims court.
The arbitration will be administered by CALIFORNIA ASSOCIATION OF REALTORS® Dispute Resolution Center, the American Arbitration Association or JAMS. under its applicable consumer or commercial arbitration rules. The arbitration will take place in Los Angeles County in the State of California, or remotely if the parties agree. There will be one arbitrator, and the arbitrator will have authority to award the same individual remedies that a court could award under applicable law.
The arbitrator, and not a court, will generally decide issues concerning the interpretation, enforceability, or scope of this arbitration provision, except that a court will decide whether the class-action waiver below is enforceable.
The arbitrator may award reasonable attorneys’ fees and costs only when authorized by applicable law, the applicable arbitration rules, or a written agreement between the parties. The arbitration provider’s rules will govern allocation of filing, administrative, and arbitrator fees, subject to any limits required by law.
d. Individual proceedings only
To the fullest extent permitted by law, disputes must be brought only on an individual basis. Neither party may participate in or bring a class, collective, consolidated, or representative action, or seek relief on behalf of other people, in arbitration or court.
If this class-action waiver is found unenforceable, the arbitration requirement will be unenforceable to that extent, and the dispute may proceed in court as permitted by law.
e. Exceptions and court jurisdiction
Nothing in this section prevents either party from:
– Bringing an eligible individual claim in small-claims court;
– Seeking temporary or emergency injunctive relief from a court;
– Pursuing a matter that applicable law requires to be handled by a government agency or court; or
– Enforcing an arbitration award or judgment in a court with jurisdiction.
For any dispute that is not subject to arbitration, the parties consent to the jurisdiction and venue of the state or federal courts located in Los Angeles County in the State of California unless applicable law requires another forum.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Website after updated Terms are posted means you accept the revised Terms, to the extent permitted by law.
17. Severability
If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in effect.
18. No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices specifically referenced on the Website, constitute the entire agreement between you and us regarding your use of the Website, unless a separate written agreement applies.
